Dell Reincorporates In Texas
Dell Technologies' board has voted unanimously to recommend that shareholders approve changing the company's state of incorporation from Delaware to Texas. The recommendation will be presented at the company's 2026 annual meeting next month. According to a filing, the change would occur immediately upon approval. Dell stated the move would not affect operations, management, strategy, or assets, and would not require employees to relocate. The proposal is subject to shareholder approval. The company board intends to seek approval for the move at the annual meeting scheduled for June 25th. The relocation is intended to align the company's legal domicile with its operations. Courtney Dunahoe of Bloomberg Radio reported the development. The company is currently based in Round Rock, Texas. Shareholders are scheduled to vote on the proposal next month.
